These policy principles offer staff at the various companies of the Océ Group a set of guidelines to follow while carrying out their work. They are similar to the policy principles published at an earlier date. In this new version they have been amended to reflect recent changes in the company's strategy and operations.
1. Aims The aim of the Océ Group is to supply the global market with the products and services required to manage and support document workflows effectively and efficiently in professional and graphics environments, and to do so profitably and in a responsible manner. To achieve this aim, Océ provides printers, scanners, software, supplies, maintenance, outsourcing services, consultancy, system integration and professional services.
2. Responsibilities In addition to the aforementioned aims, the Océ Group strives to promote the interests of four different groups of stakeholders. The Group has designed its policy to ensure that the interests of all four groups are consistently taken into account, both separately and as a whole.
The four groups of stakeholders are:
Employees The Océ policy strives to deploy, train and retrain employees and encourage their personal growth in such a way that they make a solid contribution to achieving the company's strategic targets. Océ does this by offering favourable, competitive employment terms and safe working conditions in a pleasant environment. Its overriding concern is to ensure its employees' prosperity and well-being by involving them as closely as possible in planning and in the specific tasks they perform. Their work should offer them challenges that enable them to grow as individuals and to create new opportunities for themselves. Océ is aware that much of the company's success depends on the dedication and commitment of all its employees. It therefore wishes to communicate openly with all of them.
Shareholders The aim of Océ's policy is to increase the market value of the company and to generate a solid return on its capital through honest competition with other companies in the global marketplace.
Customers The Océ policy is to improve the level of efficiency at which its customers operate and to increase the degree of satisfaction they feel with its products and services. It supplies a wide range of high tech, quality products and services intended to meet professional requirements for managing document workflows. In doing so, Océ enables people and organisations to share information with one another as efficiently and effectively as possible.
Society as a whole Océ's policy stipulates that the company must carry out its activities in accordance with all applicable legislation and regulations in the countries concerned as a responsible corporate citizen, and that it must never deliberately contravene such legislation. The quality of life and local safety standards must be respected at all times.
3. Personnel policy Change is one of the distinctive features of modern-day society. To ensure that Océ achieves its aims, its personnel policy has been designed to encourage employees to meet the challenges inherent in change, in their own interest and in the interest of the company. The success of a company depends, first and foremost, on its staff.
Océ's personnel policy is therefore based on the following principles: - Deploying employees in a way that does justice to
their abilities and satisfies their ambition - Encouraging creativity
- Giving employees clearly defined tasks with the
appropriate level of responsibility - Assessing employee performance objectively
- Offering employees equal opportunities based on
their abilities, efforts and results - Enabling employees to achieve personal growth
in and through their work, so that they are able to respond flexibly and effectively to change - Allowing employees a share of the profits
- Limiting the number of management levels and
the degree of bureaucracy
4. Operational management and integrity All Océ employees are expected to avoid any form of conflict between their personal financial interests and their position within the Océ Group. Any direct or indirect agreement which they enter into on behalf of the company, either in written or oral form, must be documented in such a way that it can be audited by accountants or other relevant parties. Employees must avoid any situation which might influence their ability to take objective business decisions. In any circumstance in which there is a potential conflict of interest, the employee concerned must inform his or her direct superior immediately.
5. Purchasing policy Océ's policy is to purchase the goods and services it requires from external suppliers, unless it decides to provide for such goods and services internally, for example, for reasons of cost or confidentiality, to maintain its independence from suppliers or because the goods or services concerned are highly specialised. It may be necessary for Océ to purchase certain goods or services from more than one supplier. It is not Océ's intention to exercise any authority over suppliers, but rather to engage in a constructive and mutually profitable working relationship.
6. Economic principles Achieving a satisfactory level of profitability is essential to ensuring the continuity and stability of the company. Without adequate profits and a healthy financial basis, it would be impossible for Océ to shoulder the responsibilities described above.
Investment decisions, the expansion of market organisations and the launch of new technologies are therefore based mainly on economic considerations. Before taking a final decision in one of these areas, Océ also takes into account the potential effects on the environment and the community.
7. Political integrity The rule within the Océ Group is that Océ neither contributes to nor does favours for political parties, organisations affiliated with political parties or the representatives of such organisations or parties, either directly or indirectly.
8. Communication between headquarters and subsidiaries TheOcéGroup has subsidiaries in many different countries. Some of these are R&D and production facilities, while others are sales organisations. Communication between headquarters and the subsidiaries is based on integrity and loyalty. Integrity means that communication about any matters important to both parties is open and complete. Loyalty in this context means that all those involved do their best to achieve agreed targets by means of honest communication.
Effective communication fosters mutual confidence and provides a sound basis for solid results, something which is to both the employees' and the company's advantage.
9. Collaboration Océ collaborates with others to develop, produce and sell its products, enabling it to make the best possible use of its own resources and of the know-how of other parties. Océ is careful to ensure a reasonable balance between its dependence on others and the continuity of the company.
10. Environment and working conditions The Océ Group's policy aims to safeguard the health and safety of its own employees and all other persons who might be affected, either directly or indirectly, by its activities.
The applicable statutory rules and regulations are regarded as a minimum requirement with respect to this policy. Where possible and financially responsible, the company takes additional measures intended to protect people and the environment. The choice of raw materials, energy efficiency and recycling are areas of special concern.
11. Strategy for the next decade It is Océ's intention to continue to enhance itsposition as an internationally active, listed company,quoted on the stock exchange. The aim ofits policy is to become one of the top three companiesin all relevant markets by means of autonomous growth—achieved through technological innovation and commercial creativity—and acquisitions.
Changes in the complexion of the competitive market and new technological advances require the company to adopt a customer-oriented, flexible and efficient approach.
Océ intends to distinguish itself in its markets by supplying products with high added value for both customers and itself.
Océ will continue to pursue all forms of investment leading to profitable growth. In this way it will be able to guarantee the long-term stability of the company, in the interest of all those for whom it considers itself responsible.
